Terms & Conditions of Use
Last updated: 1 June 2026
Mperps is a trading platform operated by Zazen Technology Ltd (“Mperps,” “we,” “us,” or “our”). We provide Services (as defined below) through our platform available at https://app.mperps.xyz (the “Platform”).
Registered Office: Trinidad Civis House, 116 Abercromby Street, Port of Spain, Trinidad and Tobago.
These Terms & Conditions (“Terms”) govern your use of the Platform, including any content, functionality, and services offered on or through the Platform (the “Services”), whether as a guest or a registered user.
For purposes of these Terms: “USDC cross-chain bridge” means the service provided by Crossover that enables users to move USDC between supported blockchains for trading on Mperps.
BY ACCESSING THE PLATFORM IN ANY MANNER, INCLUDING BY VISITING THE WEBSITE, CONNECTING YOUR WALLET TO THE PLATFORM, OR OTHERWISE USING OR ACCESSING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS THE PLATFORM OR USE THE SERVICES.
By agreeing to these Terms, you also certify that you are at least 18 years of age.
1. Not Registered with Any Regulatory Agency
We are not registered with the U.S. Securities and Exchange Commission (SEC), the UK Financial Conduct Authority (FCA), or any equivalent securities regulator in those jurisdictions. Zazen Technology Ltd is licensed by the Trinidad and Tobago Securities and Exchange Commission as a Virtual Asset Service Provider (VASP) for specified virtual asset activities. Such licensing does not imply approval, endorsement, or supervision by regulators in other jurisdictions. You understand and acknowledge that we do not broker trading orders on your behalf. Except as expressly permitted under a user’s Delegated Operator Authorization (described below), we do not facilitate the execution or settlement of your trades, which occur entirely on blockchains. As a result, we do not (and cannot) guarantee market best pricing or best execution through the Services. Any references to “best price” or similar language does not constitute a representation or warranty about pricing.
2. Modification
Mperps reserves the right to change and modify these Terms at any time and at our sole discretion. If we make material changes to these Terms, we will use reasonable efforts to provide notice of such changes to you, for example, by providing notice through the Platform or updating the “Last Updated” date at the beginning of these Terms. By continuing to access or use the Platform, you confirm your acceptance of the revised Terms, effective as of the date these Terms are updated. It is your sole responsibility to review the Terms upon being notified of a change and from time to time to ensure that you understand the terms and conditions that apply when you access or use the Platform.
3. Services
Certain Services are available to you if you simply visit the Platform; others are accessible only if you have created an Account and/or connected a compatible digital wallet to the Platform (“Wallet”).
You understand and agree that the Platform is constantly being developed and modified by Mperps to adjust to the rapidly developing web3 environment and commercial reality. Mperps may use third-party service providers, such as Crossover, to facilitate certain Services, including cross-chain stablecoin transfers via the USDC cross-chain bridge. Mperps does not guarantee the availability of any Service provided or advertised at any point and reserves the right to modify or discontinue, temporarily or permanently, the Services with or without notice. You agree that Mperps will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
Mperps does not make any representation or guarantee that any user of the Platform will achieve any particular outcome because of using the Services.
If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for legitimate business purposes or your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
To the extent that you use the Platform for commercial purposes, access or use of any part of the Platform or any Services or materials available through the Platform must be limited to legitimate business needs and considerations as related to your role as a potential or current supplier, distributor, or customer of Mperps.
Additional terms and conditions may apply to specific portions, Services, or features of the Platform. All such additional terms and conditions are hereby incorporated by this reference into these Terms. In the event of a conflict, any supplemental terms and conditions, and additional disclosures and disclaimers will govern for those portions, Services, or features of the Platform.
4. Delegated Operator Authorization
When you opt in to the onboarding contract on the Platform, you grant Zazen Technology Ltd and/or its designated operator Lemongrass IT Services LLC-Fz (collectively, the “Operator”) a limited, revocable authorization to act as your agent solely to co-sign on-chain settlement requests necessary to complete your user-submitted orders on the relevant blockchain network and to perform associated allocation operations limited to your holdings, including splitting and merging amounts required to satisfy a specific settlement. This authorization applies only to allocations and holdings belonging to you, and only where the relevant smart contract identifies the Operator as an executor, and does not permit the Operator to place new orders, initiate withdrawals, or otherwise transfer your assets absent your instruction. You retain control of your wallets and private keys at all times; the Operator has no independent ability to transfer your assets for any purpose other than co-signing a settlement request that you have authorized by placing an order through the Services.
5. Withdrawal of Delegation; Effects
You may withdraw this delegation at any time using the “Withdraw” option in the Services. Upon withdrawal, we will cancel your open orders and, where technically and legally feasible, roll back any trades that have not yet settled on chain. After withdrawal, your access to the Services will be limited to an “emergency withdraw” function that returns your trading balances to your connected wallet(s), subject to legal and technical constraints, network conditions, and any applicable compliance hold. This withdrawal operates prospectively and does not affect transactions that have already achieved on-chain finality.
6. Compliance; Legal Holds
Delegation, order cancellation, rollbacks, and emergency withdrawals remain subject to our obligations under applicable law, including anti-money laundering and counter-financing of terrorism laws of Trinidad and Tobago (such as the Proceeds of Crime Act, Chap. 11:27), as well as international sanctions regimes. We may delay, block, or require additional information for any action if we believe it is necessary to comply with law or to address sanctions, AML, or fraud risks. Nothing in this section requires us to complete a rollback or emergency withdrawal if doing so would violate law or is not supported by the relevant network or smart contract.
7. Non-Custodial Architecture; No Brokerage
Title to and control of your digital assets remains with you at all times. We do not take custody of, or have total independent control over, your assets. We do not broker orders on your behalf. To the extent the Operator co-signs a settlement request pursuant to your delegation, such co-signature is made as your limited agent solely to execute settlement for your user-submitted orders, and does not constitute custody or brokerage by Mperps.
8. Disclosures and Consent to Electronic Records
By opting in to the onboarding contract, you consent to receive this authorization, and related notices, electronically, and you acknowledge that you have the ability to access and retain these records. You may withdraw your consent to electronic records at any time by following the instructions provided; doing so may require you to cease use of the Services and will not affect the legal effectiveness of prior electronic records.
9. Purpose
The Platform provides technology services that enable users to access digital asset trading functionality. Nothing on the Platform constitutes investment advice, a recommendation, or solicitation. None of the content contained on the Platform constitutes a solicitation, offer, opinion, or recommendation by Mperps to buy or sell any securities, other financial instruments, or digital assets, or to provide legal, tax, accounting or investment advice or services regarding the suitability or profitability of any security or investment. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance placed on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor of the Platform, or by anyone who may be informed of any of its contents.
The Platform may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Mperps, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Mperps. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
10. Account
To access the Platform and the Services, you may be asked to provide certain registration details and other information, create an account on the Platform (“Account”) and connect your Wallet to your Account. It is a condition for your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to register on the Platform or otherwise is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose or are provided a username, password, or any other piece of information as part of the Services, you must treat such information as confidential, and you must not disclose it to any other person or entity. You acknowledge that your Account is personal to you and agree not to provide any other person with access to the Platform or portions of it using your username, password, Account, or any other information. You agree to notify us immediately of any unauthorized access to or use of your username, password, or Account, or any other breach of security. You also agree to ensure that you exit from your Account at the end of each session. You should use caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any Account, username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.
11. KYC/KYB Verification Process
Establishing and maintaining an Account and obtaining access to our Services is conditional upon the successful completion of our Know Your Customer (KYC) and/or Know Your Business (KYB) verification procedures. You must provide accurate and complete information and documentation to enable us and our third-party service provider to conduct the required KYC/KYB checks as well as any applicable Anti-Money Laundering (AML) screenings.
We reserve the right to refuse, suspend, or terminate access to the Services, or to freeze or close any Account, at any time, if we determine, at our sole discretion, that:
- Any transaction or activity associated with the Account meets the criteria for a suspicious activity report under applicable laws of Trinidad and Tobago or other relevant jurisdictions; or
- You fail any required AML screening, including but not limited to appearing on a sanctions list, being identified as a Politically Exposed Person (PEP), or failing other risk-based compliance checks.
Where required by law, suspicious activity reports may be filed with the Financial Intelligence Unit of Trinidad and Tobago or other relevant authorities. You acknowledge and agree that we may be legally prohibited from disclosing the filing or existence of such reports to you or to any other party.
12. Taxes
You are responsible for all sales, use, value-added and other taxes, duties, and assessments now or hereafter claimed or imposed by any governmental authority, associated with your use of the Services or the Platform (including, without limitation, any taxes that may become payable as a result of your ownership, transfer, purchase, or sale of assets).
13. Mperps Intellectual Property Rights
You acknowledge and agree that Mperps (or, as applicable, its licensors) owns all intellectual property rights, title, and interest in and to the technology and content underlying and constituting the Platform and the Services (“Mperps IP”).
You acknowledge and agree that the Services, including their look and feel (for example, text, graphics, images, logos, page headers, button icons, and scripts), proprietary content, information, and other materials, and all content and other materials contained therein, including, without limitation, the Mperps logo and all designs, text, graphics, pictures, data, software, sound files, other files, and the selection and arrangement thereof (“Services Content”) are the proprietary property of Mperps, and you agree not to take any action(s) inconsistent with such ownership interests.
Except as expressly authorized by Mperps, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Services or the Services Content, in whole or in part. Any use of the Services or the Services Content other than as specifically authorized herein is strictly prohibited.
Mperps’s name and logos are trademarks and service marks owned by Mperps (collectively, the “Mperps Trademarks”). Other company, product, and service names and logos used and displayed via the Services may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Mperps. Nothing in these Terms or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Mperps Trademarks without Mperps’s prior written permission in each instance. All goodwill generated from the use of Mperps Trademarks will inure to our exclusive benefit.
14. No Investment Advice; Investment Risks
The information on the Platform and any information provided in connection with the Services are provided to users of the Platform only and for information only, and do not constitute, and should not be construed as, investment advice or a recommendation to buy, sell, or otherwise transact in any asset, including any products or services, or an invitation, offer or solicitation to engage in any investment activity with respect to any asset.
The information on the Platform and any information provided in connection with the Services are provided solely on the basis that you will make your own decisions. Mperps does not take account of your interests, investment objectives, particular needs, or financial situation.
In addition, nothing on the Platform and no information provided in connection with the Services constitute financial, legal, accounting, or tax advice. It is strongly recommended that you seek professional investment advice before making any investment decision. Any investment decision that you make should be based on an assessment of your risks in consultation with your investment adviser.
15. Risks
Please note the following risks related to accessing, purchasing, selling, or using digital assets:
- The prices and liquidity of digital assets are extremely volatile and may be subject to large fluctuations. Fluctuations in the prices of digital assets could materially and adversely affect Mperps.

You understand and agree that Mperps will not be responsible for any communication failures, disruptions, errors, distortions, or delays you may experience when using the Services or engaging in a transaction on the Platform, however caused, including those caused by third-party service providers like Crossover. Mperps does not control the operations of Crossover or similar third-party providers and cannot guarantee the outcomes of transactions facilitated through them.
You understand and agree that you access and use the Services at your own risk.

You agree that you will not, and will not permit any third party to, do or attempt to do any of the following without Mperps’s express prior written consent in each case:

Mperps reserves the right but has no obligation to become involved in any way with disputes between you and any other user of the Platform.
25. Dispute Resolution by Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services or the Platform (collectively, “Disputes”) shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration Rules of the Trinidad and Tobago Arbitration Association (or, if such rules do not exist or are unavailable, the UNCITRAL Arbitration Rules). The seat of arbitration shall be Port of Spain, Trinidad and Tobago. The language of the arbitration shall be English.
You agree that, by entering into these Terms, you and Mperps are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury.

Before initiating arbitration, you must first contact us at legal@mperps.com to attempt to resolve the Dispute informally. If the Dispute is not resolved within 60 days, either party may commence arbitration.

Costs
Each party shall bear its own costs and expenses (including legal fees) unless the arbitrator determines that the Dispute was frivolous or brought in bad faith.
Confidentiality
All aspects of the arbitration proceeding, including the award, shall be confidential.
Severability
If any provision of this Arbitration Agreement is found to be unenforceable, the remainder shall remain in effect.
Future Changes
Mperps may update this Arbitration Agreement. Your continued use of the Services after such changes constitutes acceptance of the updated Arbitration Agreement.
26. Governing Law
These Terms and any Dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without giving effect to any choice or conflict of law provisions.
If you access or use the Platform outside of Trinidad and Tobago, you are responsible for ensuring that your access and use of the Platform in such country, territory, or jurisdiction does not violate any applicable laws.
